The reason Disney Interactive can make Disney Infinity with Star Wars characters and not step on the toes of their licensing agreement with EA is because of a loophole that considers the Disney Infinity characters in the game to be the physical toy that you purchased that represents the character, and not the literal character themselves.
It's the same reason Traveller's Tales can make Lego games featuring characters whose video game rights are with other companies (because the characters in the game are Lego, and not the actual characters), and for that matter, is similar to why Lego can make those toys in the first place without interfering with someone like Hasbro (because building toy licenses are separate from action figure licenses).

Micromanaging it all is just annoying. At least Days' grid has abilities thrown into the mix and is presented better.

it's honestly not that bad once you actually have high level cards. the way i organize my deck is:
- a couple of 0's for breaking sleights at the beginning, heals at the end
- in the middle is a bunch of level 7-9 cards
this is basically all you need to beat the game. at that point, it's just regular KH with a bit more mental math involved.

I'm pretty sure I've heard that EA has exclusive rights to the Star Wars license, so I don't think Square will be able to do anything with it in Kingdom Hearts.
I think EA would make a lot of noise.
Granted, actually suing Disney would be suicidal.
And yeah, I know about Disney Infinity, but that's developed and published by Disney Interactive.
Kingdom Hearts is co-published and primarily developed by Square Enix.
