EDIT: nuts.
The original idea was a Spirit creature that:
- Exiled all creatures in your graveyard when it came into play
- Had power and toughness equal to the number of creatures exiled that way
- Made spirit tokens equal to its power when it died
But they ended up as two separate cards, and I think I like it that way. Having all those effects on the same card would be needlessly convoluted, and also kinda weird flavorwise.

You could probably price it at four or five mana and it'd be okay.
It was a qualifying statement! I was pretty sure it was in the rules but I didn't know for absolute sure. I was afraid that Dark Confidant would call me a dumbass if I were wrong, but not so afraid that it overcame my inherent laziness so that I would go look it up. Thus, a qualifying statement.
On the other hand, the annihilation of anti-counters happens at the same time as a creature dies at 0 toughness, so if it got a bunch of +1/+1 counters and then got enough -1/-1 counters to kill it all at once, the creature still gets to say "yeah, I had all those +1/+1 counters and -1/-1 counters when I died." The same thing happens with Modular.

It's inspired by a bizarre train of thought inspired by the way Animaniacs always used "Shortnin' Bread" when someone was eating, even if it was Wakko devouring a musket. Then I began messing around with the words, things got a little odd, and out came the Knee-Height Zombie Maiming Contraption.
The inside of my head is a weird place.

It works, but needs to be "...instead transform it and remove all damage from it" if you don't want it to just die again from its wounds. It will still get double-killed from -X/-X effects, so I suggest changing it to "If ~ would be destroyed..." to make that more intuitive.
